Upstream Spin-off & Announced Merger with Apergy: Customer Service Talking Points

 

The following messages should be used by our customer service teams to answer questions from customers about the announced plan to spin off our ChampionX business and merge it with Apergy.

 

If a customer asks about the announced merger:

 

·                  Ecolab announced that our Nalco Champion Upstream business will spin off from Ecolab as planned to become ChampionX, and then merge with Apergy, a $1.2 billion public company and industry leader that offers production, automation and drilling technologies to more than 2,000 customers globally.

 

·                  This merger process will create a larger company with expanded scale and full focus on the upstream oil and gas industry.

 

·                  Together, we are creating a global leader with scale in production-focused equipment and chemical solutions, better positioned to meet the evolving needs of our customers.

 

·                  Following the planned merger, the combined company will be a $3.5 billion public company with more than 8,000 employees. ChampionX will be two-thirds of the combined company’s total sales.

 

·                  We expect the transaction to close by the end of the second quarter of 2020, subject to customary closing conditions. Until then, both companies will continue to operate as separate, independent businesses.

 

·                  By combining with Apergy, we will be better positioned for long-term investment and growth opportunities than our companies would have separately.

 

·                  Both companies have aligned cultures with focus on people, commitment to safety, and delivering value in a customer-centric way.

 

·                  Until closure, Apergy and Nalco Champion’s Upstream business will continue to operate as separate, independent businesses. That means it is business as usual and we will continue to provide the comprehensive solutions and best-in-class service that you expect from us.

 

·                  We are continuing to focus on the activities related to our spin-off, just as before. The actions customers have been asked to take for the ChampionX spin-off should proceed as communicated earlier.
